Terms of Service

1. Agreement to Terms

By accessing or using The Forge (forge.ascendente.casa) or any services provided by Casa Ascendente LLC ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, do not use our services.

These Terms constitute a legally binding agreement. By submitting a project inquiry, signing a proposal, or making a payment, you acknowledge that you have read, understood, and agree to these Terms.

2. Services Offered

Casa Ascendente LLC provides premium creative services including:

We utilize artificial intelligence tools and services in the creation of certain deliverables, including but not limited to images, videos, copy, and design elements. By engaging our services, you acknowledge and accept that:

3. Project Scope & Changes

3.1 Scope Definition

Each project's scope is defined in the signed proposal or statement of work. This includes specific deliverables, timelines, and pricing. Work outside the defined scope is not included.

3.2 Scope Changes

Requests for additional work, features, or changes beyond the original scope ("scope creep") will be quoted separately and require written approval before work begins. Additional charges apply.

3.3 Project Delays

If Client delays exceed 14 calendar days (failure to provide feedback, content, or approvals), we reserve the right to:

4. Payment Terms

4.1 Deposits

A 50% deposit is required to begin work. Deposits are non-refundable once work has commenced. Work will not begin until deposit is received.

4.2 Final Payment

The remaining 50% is due upon project completion, before final deliverables, source files, or website access credentials are released.

4.3 Late Payments

Invoices are due within 7 days of issue. Late payments incur:

We accept payment via bank transfer, credit card, or other methods specified in your invoice. All payments are in USD unless otherwise agreed.

5. Revisions & Feedback

5.1 Included Revisions

All packages include 2 rounds of revisions. A "revision" is defined as a single set of consolidated feedback addressing the current deliverable. Multiple emails or messages with ongoing feedback count toward revision rounds.

5.2 Feedback Timeline

You have 3 business days to provide feedback on each deliverable. No response within 3 business days constitutes automatic approval, and we will proceed to the next phase.

5.3 Additional Revisions

Revisions beyond the included rounds, or changes to previously approved work, will be billed at our current hourly rate or quoted as a separate change order.

6. Deliverables & Intellectual Property

6.1 Ownership Transfer

Upon receipt of final payment in full, you receive ownership of the custom work created specifically for your project, including applicable source files and final deliverables.

6.2 Pre-Payment Ownership

Until full payment is received, all work remains the exclusive property of Casa Ascendente LLC. You may not use, publish, or distribute unpaid work.

6.3 Portfolio & Marketing Rights (Standard Clients)

We retain the right to display completed work in our portfolio, website, social media, and marketing materials. This includes screenshots, project descriptions, and case study references. If you require confidentiality, this must be agreed in writing before project commencement, and may affect pricing.

6.4 Third-Party Assets

Deliverables may include third-party assets (fonts, stock images, plugins) subject to their own licenses. We will provide license information for any such assets. Ongoing license fees, if any, are your responsibility after project completion.

7. Founding Members Program

This section applies exclusively to clients enrolled in the Founding Members Program. Founding Members are early supporters of Casa Ascendente who receive exclusive lifetime benefits in exchange for expanded collaboration and marketing rights.

As a Founding Member, you receive:

In exchange for Founding Member benefits, you grant Casa Ascendente LLC a perpetual, worldwide, royalty-free, non-exclusive license to use the following for marketing, advertising, case studies, social media, portfolios, sales materials, and promotional purposes:

This license survives project completion and remains in effect for the lifetime of Casa Ascendente LLC's business operations.

7.3 Collaboration Expectations

Notwithstanding the marketing license above, we will not publicly disclose:

Founding Member status is lifetime, meaning it remains in effect as long as Casa Ascendente LLC is in operation. The marketing license granted under Section 7.2 survives any termination of active projects and cannot be revoked.

Founding Member benefits may be suspended if you breach these Terms or engage in conduct harmful to Casa Ascendente's reputation.

8. La Llama Referral Program

La Llama is our referral rewards ecosystem. Earn discount credits by referring new clients to Casa Ascendente.

8.1 How It Works

Your earning rate increases as you refer more clients:

Credits are earned when the referred client's deposit is received.

8.3 Stacking & Caps

La Llama credits can be combined with other discounts, subject to the following caps:

Credits exceeding these caps remain banked for future use.

You agree to indemnify, defend, and hold harmless Casa Ascendente LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

Services and deliverables are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

14. Managed Hosting Terms

For clients utilizing our managed hosting services:

13.1 Service Level

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

13.2 Hosting Fees

Hosting is billed monthly or annually as specified. Non-payment may result in service suspension or termination.

13.3 Data & Backups

We maintain reasonable backups but are not liable for data loss. You are responsible for maintaining your own backups of critical content.

13.4 Termination

Either party may terminate hosting with 30 days written notice. Upon termination, we will provide reasonable assistance in migrating your site (additional fees may apply).

15. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:

We may terminate or suspend services immediately if you breach these Terms, fail to make payments, or engage in conduct harmful to our business or reputation.

If you cancel your project after work has begun, the following applies based on project completion:

Project completion percentage is determined by milestone sign-offs as defined in your proposal.

16.4 Quality Disputes

Quality concerns must be raised during the revision rounds outlined in Section 5. Work that has been approved (explicitly or through the 3-business-day automatic approval) cannot be disputed for refund purposes.

17.1 Good Faith Negotiation

Disputes will first be addressed through good-faith negotiation between the parties for a period of 30 days.

17.2 Arbitration

If negotiation fails, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in Texas, and the decision will be final and binding.

17.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal proceedings shall be conducted in the courts of Texas.

20. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with any signed proposals or statements of work, constitute the entire agreement between you and Casa Ascendente LLC regarding our services and supersede all prior agreements and understandings.
